6. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur interest charges of 1.5% per month or the maximum allowed by law
• We reserve the right to suspend Services for accounts with overdue payments
• All fees are non-refundable unless otherwise stated in the service agreement
• You are responsible for all taxes associated with the Services

7. Warranties and Disclaimers

7.1 Service Quality

We warrant that our Services will be performed in a professional and workmanlike manner in accordance with industry standards. Specific warranties for custom software will be detailed in individual service agreements.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES

9. Indemnification

You agree to indemnify, defend, and hold harmless PRSMTECH LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of our Services, violation of these Terms, or infringement of any third-party rights.

10. Confidentiality

Both parties agree to:

• Keep confidential any proprietary or sensitive information shared during the engagement
• Not disclose confidential information to third parties without prior written consent
• Use confidential information only for the purposes of the business relationship
• Return or destroy confidential information upon termination of the relationship

11. Termination

Either party may terminate a service agreement according to the terms specified in that agreement. Upon termination:

• You must pay for all Services rendered up to the termination date
• We will return or destroy your confidential information as requested
• You must immediately cease using any deliverables if payment obligations are not met
• Provisions that by their nature should survive termination will continue to apply

12. Third-Party Services

Our Services may integrate with or rely on third-party services (e.g., cloud hosting, APIs, payment processors). We are not responsible for the availability, functionality, or terms of service of these third-party providers. You may be subject to additional terms and conditions when using third-party services.
